Terms of Use (End-User License Agreement)

This End-User License Agreement (“EULA” or “Terms of Use”) is a legal agreement between you and Spotly (“Spotly,” “we,” “us”), based in Kuwait City, Kuwait, governing your use of the Spotly mobile application and related services (the “App”). By downloading, installing, or using the App, you agree to this EULA. If you do not agree, do not use the App.

This EULA is concluded between you and Spotly only, and not with Apple Inc. or Google LLC. Spotly, not Apple or Google, is solely responsible for the App and its content, except as expressly stated below.

1. License

Spotly grants you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded or Android device that you own or control, solely for your personal, non-commercial use, and in accordance with the App Store Terms of Service or the Google Play Terms of Service, as applicable (including the Usage Rules set out therein). You may not rent, lease, lend, sell, redistribute, sublicense, copy (except as permitted by this license), decompile, reverse-engineer, or create derivative works of the App, except to the extent such restriction is prohibited by applicable law.

2. Spotly Plus — auto-renewable subscriptions

Some features are offered through Spotly Plus, an auto-renewable subscription. Spotly Plus adds unlimited photo storage, your full memory map, personalized weekly picks, and other premium features.

Prices are shown in USD and may vary by region and over time; the exact price and currency for your account are displayed in the App and at the point of purchase before you confirm.

3. Other purchases

Physical goods such as printed photo albums and prints are sold separately and are not in-app purchases; they are fulfilled by Spotly and/or our print partners and may be subject to additional order, shipping, and refund terms presented at checkout. Bookings and discovery are available to all users at no charge.

4. Maintenance and support

Spotly is solely responsible for providing any maintenance and support services for the App, as required under applicable law. Apple and Google have no obligation whatsoever to furnish any maintenance and support services with respect to the App.

5. Warranty

To the maximum extent permitted by applicable law, the App is provided “as is” and “as available.” In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. Otherwise, Spotly is solely responsible for any warranties, express or implied by law, to the extent not effectively disclaimed.

6. Product claims

Spotly, not Apple or Google, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

7. Intellectual property rights

The App and all related content, trademarks, and intellectual property are owned by Spotly or its licensors. In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, Spotly, not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim, to the extent required by this EULA.

8. Legal compliance

You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

10. Third-party terms

You must comply with applicable third-party terms of agreement when using the App (for example, your wireless data services agreement). Some features rely on third-party services (such as mapping and place data), whose terms also apply to your use of those features.

11. Third-party beneficiary

You acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof. The same applies to Google with respect to the App when obtained through Google Play, to the extent applicable.

12. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

13. Governing law

This EULA is governed by the laws of the State of Kuwait, without regard to conflict-of-laws rules, except where the App store’s terms or mandatory local consumer-protection law provide otherwise.

14. Changes

We may update this EULA from time to time. We will revise the “last updated” date above and, for material changes, notify you in the App. Continued use after changes means you accept the updated EULA.
